Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern access to and use of the website located at motoadnetwork.com (the “Site”) and all services offered by MotoAdNetwork (“we,” “us,” or “the Company”). MotoAdNetwork is currently completing business registration in the Republic of the Philippines; its registered legal name and registered office address will be added here once incorporation is complete.

MotoAdNetwork operates a motorcycle-distributed, parked-vehicle out-of-home advertising network (the “Services”), consisting principally of the placement of branded seat covers on motorcycles and the sale of related advertising campaigns to advertisers, media buyers, and agencies, in cooperation with location and deployment partners.

These Terms apply to everyone who interacts with MotoAdNetwork in any of the following capacities:

  • Riders — motorcycle owners or riders whose motorcycle carries, or has been offered, a MotoAdNetwork-branded seat cover (Section 5);
  • Advertisers — advertisers, media buyers, brands, and agencies that purchase or inquire about advertising campaigns (Section 6);
  • Location Partners — owners, operators, or on-site personnel of parking areas, establishments, or venues where motorcycles carrying MotoAdNetwork seat covers may be parked (Section 7); and
  • Visitors — anyone who otherwise browses or uses the Site (Section 8).

By using the Site, accepting a seat cover, booking a campaign, or otherwise engaging with the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. Where a signed quotation, insertion order, or statement of work (“Order”) has been separately executed between MotoAdNetwork and an Advertiser or Location Partner, the terms of that Order govern in case of conflict with these Terms (see Section 8.13).

2. Definitions

  • Campaign” — a defined, time-bound advertising booking consisting of a stated number of Units, a Campaign Period, and (where applicable) a Roadblock Launch.
  • Unit” — one motorcycle carrying an accepted, installed seat cover bearing a Campaign creative.
  • Roadblock Launch” — a coordinated, time-boxed concentrated activation of multiple Units at a defined location and time window.
  • Campaign Period” — the contracted number of consecutive calendar days a Campaign runs, as stated in the applicable Order.
  • Proof of Performance” or “POP” — the standard documentation package described in Section 6.10.
  • Seat Cover” — the physical motorcycle seat cover product distributed by MotoAdNetwork, which may or may not bear advertising creative at any given time.
  • OTS” — “opportunity to see,” a planning estimate of potential visual contacts, calculated as described in Section 6.4. OTS is not reach, audience measurement, or a guarantee of any kind.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into binding contracts to use the Services. Advertisers must have authority to bind the entity on whose behalf they are acting.

4. Description of Services — Best-Efforts Basis

MotoAdNetwork provides the Services on a best-efforts basis only. We plan, coordinate, and execute the placement of advertising creative on Seat Covers, the recruitment and retention of Riders and Location Partners, and the reporting of campaign activity using reasonable commercial efforts. Except where expressly stated in writing in an Order, we do not guarantee any specific outcome, audience, exposure count, retention rate, installation count, timeline, or level of Rider or Location Partner participation. The Services depend materially on the voluntary, ongoing cooperation of independent third parties — Riders and Location Partners — over whom MotoAdNetwork does not have direct control, and on operational factors (weather, traffic, local permits, third-party premises rules, and similar) outside MotoAdNetwork’s control. References throughout these Terms and in any proposal, rate card, or Order to estimated performance, exposure, or reach are planning estimates only, clearly and separately labeled as such, and are never a warranty or a guaranteed deliverable unless explicitly stated otherwise in a signed Order.

5. Terms for Riders and Motorcycle Owners

This Section 5 applies to any person whose motorcycle carries, or is offered, a MotoAdNetwork Seat Cover (“Rider,” “you”).

5.1 Nature of the Seat Cover

The Seat Cover is offered to you free of charge, as a gift, and not as compensation, wages, or payment of any kind for advertising exposure, data, or any other consideration. To the extent the Seat Cover is delivered or placed without a prior order or request from you, it is an unsolicited item under Republic Act No. 7394 (the Consumer Act of the Philippines): you incur no payment obligation, no obligation to use it, and no obligation to return it, and you may keep, use, give away, or dispose of it as you see fit.

5.2 No Payment, No Obligation, No Data Sale

You will not receive any cash payment, discount, or other compensation for carrying advertising creative on your Seat Cover under this phase of the Services, unless a separate, signed participation agreement between you and MotoAdNetwork states otherwise. You are not selling us your personal data, your location, or your movement, and we do not track your motorcycle’s location or movement (see our Privacy Policy).

5.3 No Obligation to Display; Right to Remove or Decline at Any Time

You are under no obligation to display, retain, keep visible, or maintain the Seat Cover. You may remove it, cover it, store it, or discard it at any time, for any reason, without notice to us and without any liability to us. If you would like MotoAdNetwork to remove the Seat Cover on your behalf, or to confirm you do not want to receive one in the future, contact us using the details in Section 8.14 and we will make reasonable efforts to accommodate your request promptly and at no cost to you.

5.4 Installation and Care

Seat Covers are installed or replaced on-site by an independent-contractor merchandiser or other field personnel engaged by MotoAdNetwork on a per-gig basis, not by MotoAdNetwork employees. MotoAdNetwork does not accept liability for any damage to your motorcycle arising from installation or removal — see Section 8.6(c). If you believe your motorcycle was damaged during installation or removal, please contact us promptly with details and, where possible, photographs; at our sole discretion, and without any admission of liability or obligation to do so, we may look into the matter.

5.5 Ownership of the Seat Cover

Once given to you, the Seat Cover is yours. From time to time, MotoAdNetwork or its partners may offer to replace, upgrade, or swap your Seat Cover (for example, when a new advertiser’s campaign begins, or when your cover shows wear) — this is always offered as a request, never enforced, and you are free to decline any swap and keep the Seat Cover you already have.

5.6 No Guarantee of Selection or Continued Participation

MotoAdNetwork does not guarantee that any specific motorcycle will be offered a Seat Cover, will be included in any Campaign, or will continue to be included in future Campaigns. Participation may end at any time, at either party’s discretion, without liability to either party.

5.7 Data Privacy Act Notice

Any personal data you voluntarily share with us (for example, by contacting us) is handled in accordance with Republic Act No. 10173 (the Data Privacy Act of 2012) and our Privacy Policy. We do not currently collect GPS or location-tracking data from Riders or their motorcycles.

6. Terms for Advertisers and Media Buyers

This Section 6 applies to any advertiser, media buyer, brand, or agency (“Advertiser,” “you”) that inquires about, requests, or books a Campaign.

6.1 How Booking Works

Campaign inquiries submitted through the Site are reviewed manually. Upon approval, MotoAdNetwork may grant you access to a portal for quotations, ordering, and campaign management. No Campaign is confirmed, and no inventory is reserved, until MotoAdNetwork has issued a written quotation or Order and received any required deposit or confirmation stated in that Order. Submitting an inquiry or receiving portal access does not, by itself, constitute a booking.

6.2 Minimum Booking and Pricing

Campaigns are sold in units of motorcycles (“Units”) for a minimum Campaign Period, subject to the minimum order quantity and current rate card in effect at the time of your Order. Published per-unit or per-day prices (for example, “From ₱50/motorcycle/day”) are normalized display figures only, derived from the applicable package rack rate, and are not available as standalone, single-unit, or single-day purchases. Rack rates, grading, and any time-limited promotional discounts are set out in the quotation or rate card provided to you and may change at any time for future bookings without affecting Campaigns already confirmed by Order.

6.3 Payment Terms

Campaigns are payable 100% in advance, before the Campaign start, by credit/debit card or bank transfer. Payment and bank account details are provided directly at checkout or on your invoice, and are not published on this page. Currency is Philippine Pesos unless stated otherwise. Late or non-payment may result in suspension or cancellation of the Campaign without liability to MotoAdNetwork for any resulting non-delivery.

6.4 Best-Efforts Delivery; Estimates Are Not Guarantees

MotoAdNetwork will use commercially reasonable efforts to install, maintain, and document the agreed number of Units for the agreed Campaign Period, and to carry out any agreed Roadblock Launch. You acknowledge and agree that:

  • Exposure is counted only while motorcycles are parked and visible; in-motion exposure is excluded from all estimates.
  • Any OTS, reach, impression, or exposure figure provided to you (including ranges such as “12,000–18,000 OTS per motorcycle per 30-day Campaign”) is a low-confidence planning estimate, not unique reach, not GPS-verified, and not third-party audited, unless a specific audited measurement service is separately purchased and confirmed in your Order.
  • A stated Campaign Period does not mean continuous 24/7 visibility of every Unit.
  • Any use of the Seat Cover after the end of the Campaign Period (“Bonus Tail”) is a possible, non-guaranteed bonus and is never counted toward, or owed as part of, the contracted delivery.
  • Recurring or clustered exposure at a given location is a possible, behavior-dependent bonus and is not guaranteed unless separately purchased and confirmed in your Order.
  • We do not warrant or guarantee sales, conversions, redemptions, or any other business outcome resulting from a Campaign.

6.5 Non-Delivery and Under-Delivery — Fees Reflect What Is Actually Delivered

MotoAdNetwork bills only for Units and services actually installed and accepted, subject to the makegood remedies in Section 6.6. If, despite best efforts, MotoAdNetwork is unable to install and maintain the number of Units committed in your Order for reasons within MotoAdNetwork’s reasonable control (for example, insufficient Rider or Location Partner participation, or an operational shortfall on our side), MotoAdNetwork will, at its discretion and as its sole obligation: (a) not invoice you for the undelivered portion, (b) issue a pro-rata credit or refund for amounts already paid for the undelivered portion, or (c) offer a replacement remedy under Section 6.6. MotoAdNetwork does not charge for Services it did not deliver. This flexibility is offered on the mutual understanding that the Services are inherently best-efforts and that the underlying estimates in Section 6.4 are not guarantees; it does not create any right to compensation beyond a refund or credit of amounts paid for the undelivered portion (see Section 8.6 on limitation of liability).

6.6 Makegood Policy

Where an Order specifies measurable delivery commitments, MotoAdNetwork will offer a makegood remedy for clearly measurable shortfalls, including: failure to complete an accepted installation; fewer concurrent Roadblock Units than committed; a missed Roadblock time window; defective or illegible creative attributable to MotoAdNetwork’s production; active-unit compliance below an agreed threshold; failure to deliver a standard Proof of Performance package; or breach of an exclusivity commitment separately purchased under Section 6.9. Available remedies, at MotoAdNetwork’s discretion, include: a replacement Unit, additional active Unit-days, a rescheduled Roadblock window, a pro-rata credit, credit toward a future Campaign, or a refund of an affected optional service fee. No makegood or refund is available for “lost reach,” audience composition, or any other outcome that Section 6.4 identifies as an estimate rather than a measured, contracted commitment.

6.7 Cancellation by Advertiser

All fees are non-refundable once paid, regardless of the reason for cancellation. This is separate from, and not affected by, the non-delivery and makegood remedies in Sections 6.5 and 6.6, which apply only where MotoAdNetwork itself fails to deliver a committed Unit, Roadblock, or POP deliverable.

6.8 Creative Content and Intellectual Property

You retain all ownership rights in the creative content you provide for your Campaign (“Advertiser Content”). You grant MotoAdNetwork a limited, non-exclusive, royalty-free license to reproduce, print, and display the Advertiser Content solely to perform the Campaign, and to use images of installed Units (including your Advertiser Content as it appears on them) in MotoAdNetwork’s own portfolio, case studies, marketing materials, and Proof of Performance documentation, unless you tell us in writing that you would like to opt out of such promotional use. You represent and warrant that the Advertiser Content does not infringe any third party’s intellectual property, and does not violate any applicable law, including advertising standards applicable in the Philippines.

6.9 Exclusivity

Category, site, or time-based exclusivity applies only if expressly purchased and defined (scope, duration, and applicable makegood) in your Order. Absent such an Order term, MotoAdNetwork may sell advertising space on other Units, at other locations, or in other time windows to any other advertiser, including competitors.

6.10 Reporting

MotoAdNetwork will provide the standard Proof of Performance package described in your Order (which may include installation photographs, Unit identification, creative confirmation, dates, Roadblock documentation, accepted Unit counts, and an exception/replacement log). A photograph or report demonstrates the state of a Unit at a specific place and time; it does not, by itself, prove all-day presence, reach, or attention.

7. Terms for Location Partners

This Section 7 applies to owners, operators, tenants, or authorized personnel of a parking area, establishment, or venue (“Location Partner,” “you”) that permits motorcycles carrying MotoAdNetwork Seat Covers to be parked on or near the premises, or that otherwise cooperates with MotoAdNetwork’s deployment activity.

7.1 Nature of the Arrangement

Unless a separate signed partnership agreement states otherwise, your cooperation with MotoAdNetwork is informal, voluntary, revocable at any time, and does not involve any cash payment from MotoAdNetwork to you. Any non-cash goodwill benefit MotoAdNetwork may offer (for example, offering the sun-protection product to persons at your site) is offered at MotoAdNetwork’s discretion and creates no ongoing obligation on either side.

7.2 No Guarantee of Outcome

MotoAdNetwork does not guarantee any specific number of motorcycles, level of foot traffic, or commercial benefit to you from this cooperation.

7.3 Right to Decline or Withdraw

You may ask MotoAdNetwork at any time to stop deployment activity at your site, or to add your site to MotoAdNetwork’s opt-out list, by contacting us using the details in Section 8.14. We will make reasonable efforts to honor such requests promptly.

7.4 Formal Partnerships

Where a separate, signed partnership or lease agreement is executed with a Location Partner (for example, for larger venues), the terms of that agreement govern in case of conflict with this Section 7.

8. General Terms

8.1 Acceptable Use

You agree not to use the Site to violate applicable law, infringe any third party’s rights, transmit malicious code, or interfere with the Site’s operation.

8.2 Intellectual Property

The Site and its content (excluding Advertiser Content and third-party content) — including the MotoAdNetwork name, logo, and all text, graphics, and software — are owned by or licensed to MotoAdNetwork and protected by Philippine and international intellectual property law. Nothing in these Terms grants you any right to use MotoAdNetwork’s trademarks or branding except as expressly permitted in writing.

8.3 Third-Party Links and Services

The Site or Services may reference or link to third-party websites, tools, or payment processors (for example, a payment gateway). MotoAdNetwork is not responsible for the content, accuracy, or practices of third parties, and your use of third-party services is governed by their own terms.

8.4 Force Majeure

MotoAdNetwork is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters or extreme weather (typhoons, flooding, earthquakes), government or barangay/LGU action, power or connectivity outages, strikes, civil unrest, pandemic or public health measures, or the acts or omissions of third parties (including Riders, Location Partners, and subcontractors) not under MotoAdNetwork’s direct employment or control, consistent with Article 1174 of the Civil Code of the Philippines. Affected obligations are suspended for the duration of the event, and, where a Campaign is materially and permanently prevented from proceeding, treated as a shortfall under Section 6.5.

8.5 Disclaimer of Warranties

To the fullest extent permitted by Philippine law, the Services, the Site, and all estimates, reports, and materials provided are offered “as is” and “as available,” on a best-efforts basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement, and without any warranty that the Services will be uninterrupted, error-free, or will achieve any particular result. Nothing in this Section 8.5 excludes any warranty that cannot lawfully be excluded or limited under Philippine law, including under the Consumer Act of the Philippines (Republic Act No. 7394) where it mandatorily applies.

8.6 Limitation of Liability

To the fullest extent permitted by Philippine law:

(a) MotoAdNetwork’s total aggregate liability to any Advertiser or Location Partner arising out of or relating to the Services, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees actually paid by that party to MotoAdNetwork for the specific Campaign giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim.

(b) MotoAdNetwork will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or business opportunity, even if advised of the possibility of such damages.

(c) MotoAdNetwork does not accept liability for damage to a Rider’s motorcycle arising from the installation or removal of a Seat Cover. Installation and removal are carried out by an individual merchandiser or other field personnel engaged by MotoAdNetwork as an independent contractor for the specific gig, under a separate written agreement in which that individual assumes responsibility for damage they personally and negligently cause. Any resulting damage is that individual’s responsibility, not MotoAdNetwork’s.

(d) Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for willful misconduct or gross negligence, or for any other liability that cannot lawfully be excluded or limited under Philippine law, including under the Civil Code of the Philippines (e.g., Articles 1170 and 2201) and the Consumer Act of the Philippines (Republic Act No. 7394).

8.7 Indemnification

You agree to indemnify and hold MotoAdNetwork harmless from third-party claims, losses, and reasonable expenses (including legal fees) arising from your breach of these Terms, your Advertiser Content, or your violation of applicable law, except to the extent caused by MotoAdNetwork’s own negligence, willful misconduct, or breach of these Terms.

8.8 Confidentiality

Each party will use the other’s non-public business information disclosed in connection with the Services (including pricing, campaign performance data, and business plans) only for purposes of the relationship, and will not disclose it to third parties except as required by law or with the disclosing party’s consent.

8.9 Suspension and Termination

MotoAdNetwork may suspend or terminate access to the Services, or decline or discontinue any Campaign or partnership, at its discretion, including for non-payment, breach of these Terms, or suspected fraudulent or unlawful activity, subject to the refund/credit treatment in Section 6.5 for any amounts paid for services not yet delivered.

8.10 Changes to These Terms

MotoAdNetwork may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Changes apply prospectively and do not alter the terms of an Order already confirmed prior to the change, unless required by law.

8.11 Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall first be referred to arbitration seated in Davao City, Philippines, in accordance with the Alternative Dispute Resolution Act of 2004 (Republic Act No. 9285) and its implementing rules, and the resulting arbitral award shall be final and binding on the parties. The arbitration will proceed on an ad hoc basis under those implementing rules, unless MotoAdNetwork elects, by written notice to the other party given at the time a dispute is submitted to arbitration, to have the arbitration administered instead by a recognized Philippine arbitration institution (for example, the Philippine Dispute Resolution Center, Inc.) under that institution’s rules then in effect, in which case that designation will apply. Notwithstanding the foregoing, either party may instead bring a claim that falls within the applicable jurisdictional threshold before the small claims court of competent jurisdiction in Davao City, in accordance with the Rules of Procedure for Small Claims Cases, in lieu of arbitration. The courts of Davao City, Philippines, shall have exclusive jurisdiction over any matter not subject to arbitration, including the enforcement of an arbitral award or requests for interim relief.

8.12 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

8.13 Entire Agreement; Order of Precedence

These Terms, together with the Privacy Policy and any signed Order, constitute the entire agreement between you and MotoAdNetwork regarding the Services. In the event of a conflict, a signed Order’s specific terms prevail over these Terms, which prevail over any other proposal, rate card, or marketing material.
